<p>二零二五年上半年，本集團堅持改革創新，加快主營業務升級轉型，進一步優化資產和業務佈局，同時著力強化內部管理，加強風險管控，全力推動企業高質量發展。</p>
<p>截至二零二五年六月三十日止六個月，本集團未經審核營業額為94.76億港元，較去年同期下跌8.6%；股東應佔溢利錄得10.42億港元，同比下跌13.2%，收入和盈利下跌主要由於房地產業務交樓結轉銷售較去年同期減少以及房地產存貨跌價計提大額撥備和投資物業公允值減少所致。</p>
<p>本期間基建環保業務盈利同比下跌11.6%至9.33億港元，佔集團業務淨利潤約92.2%。收費公路業務繼續為本集團帶來穩定的現金流。期內本集團積極響應國家政策導向，聚焦水處理與水資源利用主業，致力擴展市場份額，鞏固本集團於中國水務及環保產業的領先地位。</p>
<p>由於粵豐環保期內成功私有化，本公司間接持有的全部4.75億股粵豐環保股份以每股4.90港元的價格註銷，並提前贖回可交換債券，本金、利息及提前贖回補償金額合共約17億港元，合共回收約40億港元的現金。</p>
<p>上半年來自大健康業務的盈利貢獻為1.41億港元，同比大幅增加118.4%，佔本集團業務淨利潤約14.0%。</p>
<p>房地產業務本期間錄得虧損4.65億港元，較去年同期虧損增加約2.56倍，佔集團業務淨利潤為負46.0%。</p>
<p>消費品業務表現穩健，上半年盈利貢獻為4.03億港元，同比上升26.0%，佔集團業務淨利潤39.8%。南洋煙草通過動態調整經營策略、優化產品結構和深化渠道建設，推動業績持續向好發展。永發印務期內充分發揮煙包、藥包、模塑三大核心業務板塊的協同效應，推動整體業績穩步提升。</p>
<p><b><i>業務摘要：</i></b></p>
<p><b><u>基建環保</u></b></p>
<ul type="disc">
<li>本集團旗下三條收費公路，本期間總體車流量及通行費收入平穩增長，主要由於在春運、清明和五一期間，公眾出行車流量增加。上半年總體車流量同比增長2.1%，通行費收入同比增加5.1%至10.19億港元，集團所佔净利潤同比增加0.5%至5.48億港元，為集團帶來穩定的現金流。</li>
<li>旗下上實環境（BHK SGX，807 HKSE）二零二五年上半年營業額錄得人民幣31.77億元，同比減少4.4%，股東應佔溢利為人民幣3.44億元，同比增加7.1%。收入下降主要由於期內新增建設項目尚未開工，致建設收入同比大幅降低。股東應佔溢利上升主要是由於融資結構獲得持續優化，財務費用同比大幅下降12.5%。</li>
<li>上實環境上半年還積極拓展新項目，在污水處理領域實現多項業務進展。期內取得廣西北流市城區污水處理廠（三期）項目，設計處理規模達每日60,000噸；上海市建成投運一個污水處理項目，設計處理規模每日25,000噸；上海市一個委托運營項目投入運營，設計處理規模每日100,000噸。</li>
<li>中環水務期內實現營業收入9.80億港元，同比增加2.5%。淨利潤1.20億港元，較去年同期減少8.0%。期內新增/新簽項目共3個，涉及水處理規模每日114,000噸，涉及委托運營合同額人民幣2,910,000元。</li>
<li>由旗下50%合資企業持有28.34%股權的康恆環境，期間垃圾焚燒運營項目累計總規模達43,725噸/日，上半年合計完成垃圾入場量861.75萬噸，同比增長4.3%，完成上網電量30.93億千瓦時，同比增長9.1%。</li>
<li>新邊疆業務方面，截至二零二五年六月底，星河數碼及其控股的星河能源持有光伏電站資產規模達740兆瓦，期內15個光伏發電項目完成上網電量約4.72億千瓦時，同比下降8.9%，主要原因為限電加劇。</li>
</ul>
<p><b><u>大健康</u></b></p>
<ul type="disc">
<li>大健康業務上半年盈利為1.41億港元，同比增加118.4%，佔本集團業務淨利潤約14.0%。集團持股20%的上藥集團本期間錄得收入為人民幣1,419.01億元，較去年同期增長1.61%；淨利潤同比大幅上升39.5%至人民幣8.34億元。</li>
</ul>
<p><b><u>房地產</u></b></p>
<ul type="disc">
<li>旗下上實發展（600748 SSE）期內錄得營業額人民幣12.32億元，同比上升19.7%，淨虧損人民幣7.54億元，主因是內地房地產行業仍處於止跌回穩階段，部分項目存貨存在大額減值跡象，以及本期房地產銷售結轉收入和利潤較低。期間簽約金額為人民幣2.90億元。半年租金收入约1.97億港元。</li>
<li>旗下上實城開（563 HKSE）期內錄得營業額18.28億港元，同比下跌38.7%，主要由於多個項目交付之銷售額較去年同期下降。來自租金、物業管理，以及酒店業務的收入持續為公司提供穩定的收入來源。本期間股東應佔虧損為4.92億港元，主要由於期內物業銷售收入之毛利減少所導致。期內實現簽約金額為人民幣6.9億元，在建项目6個。半年租金收入约3.6億港元。</li>
</ul>
<p><b><u>消費品</u></b></p>
<ul type="disc">
<li>南洋煙草上半年錄得營業收入為12.73億港元，同比增長16.4%，淨利潤3.37億港元，同比增長20.0%，銷量逾74.6萬箱，同比大幅增長約31.1%，南洋煙草期內深耕主業、強化產品創新，實現經營業績的穩健提升。</li>
<li>面對香港市場連續兩年大幅上調煙草稅的影響，南煙積極應對，對外開展終端銷售推廣活動，對內進行精細化營銷管理，使銷量跌幅持續收窄。按照國家相關部門要求，南煙按時完成中專二維碼項目，保障了計劃內產品的準時出貨。此外，面對海關限購政策、網點大幅縮減對中港澳免稅市場銷量整體下滑的不利影響，公司積極整合產品結構、推出新品，鞏固了香港免稅市場渠道並開拓海外免稅市場。</li>
<li>南洋煙草海外市場銷售表現良好，公司通過嚴格渠道管控和科學投放策略，確保了主要品規的產品狀態，成功打破復甦瓶頸。</li>
<li>永發印務期內收入7.59億港元，同比增長1.1%，主要受益於期內煙藥包和模塑業務穩中有升。期內實現淨利潤6,994萬港元，同比急升46.7%，主要受益於業務結構優化及核心工廠降本提效，顯著提升了綜合盈利水平。</li>
